This Agreement (“Agreement”) is entered into between GRACED.CO(“Provider”) and the undersigned member as a condition of accessing the Provider’s website, research materials, and digital library. By accessing, downloading, or viewing any materials provided by the Provider (collectively, “Materials”), the Member agrees to the following terms:

1. Purpose & Limited License The Materials are made available solely for the Member’s personal, private use. This access is non-transferable and does not convey any ownership rights. All copyrights, trademarks, and intellectual property rights remain the exclusive property of the Provider.

2. Restrictions on Use The Member agrees: Not to copy, share, reproduce, sell, publish, distribute, or make available the Materials to any third party, whether for free or for compensation. Not to upload, post, or otherwise make the Materials accessible on any website, platform, or public medium. To take reasonable steps to prevent unauthorized access to the Materials.

3. Nature of the Materials The Materials may include research notes, personal compilations, and book files collected by the Provider. The Materials are provided for informational and entertainment purposes only and do not constitute professional, medical, legal, or financial advice. The Provider does not guarantee the accuracy, completeness, or reliability of the information contained in the Materials.

4. Assumption of Risk & Disclaimer of Liability The Member acknowledges that any use of the Materials is at their own risk. The Provider shall not be liable for any loss, injury, or damages resulting from the Member’s reliance on the Materials. The Member is held by codes of honesty, integrity, and professionalism. Failure to do so may result in a temporary or permanent closure of the membership.

5. Compliance with Laws The Member is solely responsible for ensuring their use of the Materials complies with all applicable copyright laws, intellectual property laws, and other legal requirements. Unauthorized sharing or reproduction may result in legal action and termination of membership.

6. Termination The Provider may revoke access at any time if the Member breaches this Agreement. Upon termination, the Member must permanently delete all copies of the Materials in their possession.

7. Governing Law & Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved exclusively through [arbitration / small claims court / local court jurisdiction of founder].
